SSI to issue Bt 1,650 million convertible debenture Explores further suitable options of fund raising

          SSI Board approved the issuance and offering of Bt 1,650 million convertible debentures and approved the capital increase under a general mandate, to strengthen the Company’s capital structure and support increasing working capital needs as a result of business expansion.  The company continually assesses various relevant funding options, including sales of new shares in SSI UK to strategic investors.

           Mr. Win Viriyaprapaikit, Group CEO and President of Sahaviriya Steel Industries Public Company Limited (SSI), reveals that “With the successful start-up of SSI Teesside with the first steel slab being produced on 18 April 2012, SSI has achieved another major milestone.  Following the convertible debenture plan approved by the Extraordinary General Meeting of Shareholders on 22 September 2011, the Board of Directors today approved to proceed with the issuance and offering of convertible debentures.  It also approved the capital increase plan via a general mandate.  These will allow the company greater flexibility in strengthening its capital structure and raise additional working capital to support the expansion of production capacity.”

          The offering of the Baht 1,650 million convertible debentures will be to shareholders whose names appear in shareholder list register on 30 September 2011.  The offering period will be from 15 to 21 May 2012.  There will be remaining Baht 600 million convertible debenture available for offering to other investors via private placements, details of which will be announced when available.
“Other than the offering of the convertible debentures, The Board of Directors has considered other possibilities, including a SSI share offering via a general mandate which will be subject to market condition and/or, alternatively, sales of new SSI UK shares to potential strategic partners. After completion of the convertible debentures issuance, these other alternatives are to be considered on their suitability and benefit to the Company,” Mr. Win adds.

          บอร์ดเอสเอสไอมีมติเสนอขายหุ้นกู้แปลงสภาพ 1,650 ล้านบาท พร้อมหาทางเลือกที่เหมาะสมในการระดมทุน อาจเป็นการเพิ่มทุนแบบมอบอำนาจทั่วไป และหรือ ขายหุ้นเพิ่มทุนในบริษัท เอสเอสไอ ยูเค ซึ่งเป็นบริษัทย่อยให้กับพันธมิตรทางธุรกิจ เพื่อปรับปรุงโครงสร้างเงินทุนของบริษัทให้แข็งแกร่ง และมีเงินทุนหมุนเวียนเพียงพอรองรับกำลังการผลิตขยายตัว

          นายวิน วิริยประไพกิจ ประธานเจ้าหน้าที่บริหารกลุ่มและกรรมการผู้จัดการใหญ่ บริษัท สหวิริยาสตีลอินดัสตรี จำกัด (มหาชน) หรือ เอสเอสไอ เปิดเผยว่า จากการที่โรงงานเอสเอสไอทีไซด์ ที่ประเทศอังกฤษเริ่มผลิตเหล็กแท่งแบนได้เป็นผลสำเร็จเมื่อวันที่ 18 เมษายน 2555 ที่ผ่านมาทำให้ธุรกิจในกลุ่มเอสเอสไอก้าวหน้าไปอีกหนึ่งขั้น ทางคณะกรรมการบริษัทจึงได้มีมติเดินหน้าเสนอขายหุ้นกู้แปลงสภาพซึ่งได้รับอนุมัติจากการประชุมวิสามัญผู้ถือหุ้นวิสามัญ เมื่อวันที่ 22 กันยายน 2554 และขอผู้ถือหุ้นอนุมัติการเพิ่มทุนแบบมอบอำนาจทั่วไปเพื่อปรับปรุงโครงสร้างเงินทุนของบริษัทให้แข็งแกร่ง และมีเงินทุนหมุนเวียนเพียงพอรองรับกำลังการผลิตที่ได้ขยายตัวมา

          ในส่วนของหุ้นกู้แปลงสภาพนั้นได้กำหนดรายละเอียดและระยะเวลาการจองซื้อชัดเจนแล้ว เป็นหุ้นกู้แปลงสภาพ 1.650ล้านหน่วย มูลค่า 1,650 ล้านบาท เสนอขายให้ผู้ถือหุ้นเดิมที่มีรายชื่อปรากฏในสมุดทะเบียนรายชื่อผู้ถือหุ้น ณ วันที่ 30 กันยายน 2554 โดยกำหนดให้รับจองซื้อระหว่างวันที่ 15 พฤษภาคม – 21 พฤษภาคม 2555 และจะเหลือหุ้นกู้แปลงสภาพสำหรับเสนอขายผู้ลงทุนโดยเฉพาะเจาะจงอีก 0.6 ล้านหน่วย มูลค่า 600 ล้านบาท ซึ่งจะแจ้งรายละเอียดให้ทราบในลำดับต่อไป

          ในส่วนของการระดมทุนขั้นต่อไปหลังจากการเสนอขายหุ้นกู้แปลงสภาพนั้น คณะกรรมการบริษัทได้พิจารณาหลายแนวทางพร้อมกันไป โดยอาจเป็นการเพิ่มทุนแบบมอบอำนาจทั่วไปซึ่งต้องพิจารณาสภาพตลาดทุน หรืออาจเป็นการขายหุ้นเพิ่มทุนในบริษัท เอสเอสไอ ยูเค ซึ่งเป็นบริษัทย่อยให้กับพันธมิตรทางธุรกิจซึ่งมีผู้สนใจติดต่อเข้าร่วมทุนหลายราย ทั้งนี้คณะกรรมการบริษัทจะพิจารณาการระดมทุนในส่วนนี้หลังจากเสนอขายหุ้นกู้แปลงสภาพแล้ว โดยคำนึงถึงความเหมาะสมและประโยชน์ที่จะเกิดขึ้นกับบริษัทเป็นสำคัญ

PPC shore crane successfully installed ahead of schedule Ready to handle slab from SSI UK

           “PPC Shore Crane Project” was finished before the plan. Have been completely installed, the cranes achieve 125 tonnes weight lifting test and serve business expansion accordingly with the operation of SSI Teesside plant, UK.
            Mr. Chaipat Khemaphiruk, Managing Director of Prachuap Port Co. Ltd., or PPC, an affiliate of SSI Group Companies, revealed the progress of “PPC Shore Crane Project” that “After the crane components from the plant in Dusseldorf, Germany, had been delivered to Prachuap Port, Bangsaphan, Prachaup Khirikhan on 16 March 2012, the installation was speedily implemented by the contractors of Gottwald Port Technology. All components had been successfully installed and the cranes were already handed over to PPC on 18 April prior to the installation schedule planned to finish at the end of April. Now, they are ready for handling steel slab shipment from SSI UK which will arrive Thailand soon.”
          Mr. Chaipat added that “According to the load testing, these two cranes achieved the Dynamics Test lifting at 125 tonnes weight and minimum 11 metres length, proving the highest capacity for huge material transport, and conforming to services expansion strategy to support related businesses including slab from SSI UK shipped by large vessels without deck crane.”
          “PPC Shore Crane Project” is the investment project to enhance the company capability to handle goods and materials with lower operational costs and maximum operability, and to serve larger vessels services.

          นายชัยภัทร เขมาภิรักษ์ กรรมการผู้จัดการ บริษัท ท่าเรือประจวบ จำกัด ซึ่งเป็นบริษัทในกลุ่มเอสเอสไอ เปิดเผย ถึงความคืบหน้าโครงการเครนหน้าท่า PPC ว่า หลังจากอุปกรณ์ชิ้นส่วนต่างๆปั้นจั่นที่โรงงานเมืองดุสเซลดอฟ ประเทศเยอรมันนี ได้ถูกลำเลียงมาถึงท่าเรือประจวบ อำเภอบางสะพาน จังหวัดประจวบคีรีขันธ์แล้วเมื่อในวันที่ 16 มีนาคมที่ผ่านมา ผู้รับเหมาช่วงของก็อดวาลด์ พอร์ท เทคโนโลยีได้เร่งดำเนินการติดตั้ง ณ ท่าเรือประจวบ  การดำเนินรุดหน้าไปอย่างรวดเร็วสามารถติดตั้งอุปกรณ์และชิ้นส่วนเครนต่างๆได้ติดตั้งแล้วเสร็จ  และบริษัทได้รับมอบเครนเรียบร้อยแล้วเมื่อวันที่ 18 เมษายนที่ผ่านมา ซึ่งเร็วกว่ากำหนดการติดตั้งเดิมที่คาดว่าจะใช้เวลาในการติดตั้ง 45 วันแล้วเสร็จปลายเดือนเมษายน  พร้อมรับขนถ่ายเหล็กแท่งแบนจาก SSI UK ที่จะมาถึงประเทศไทยในเร็ววันนี้
          นายชัยภัทรกล่าวเพิ่มเติมว่าได้มีการทดสอบการยกน้ำหนักของเครนสองตัวดังกล่าวซึ่งพบว่าสามารถยกน้ำหนักสูงสุด (Dynamics Test) อยู่ที่ 125 ตัน โดยมีระยะใกล้สุด 11 เมตร  ซึ่งถือได้ว่าเครนมีขีดความสามารถสูงสุดในการขนถ่ายวัตถุดิบที่มีขนาดใหญ่ ซึ่งสอดคล้องกับกลยุทธ์ขยายบริการเพื่อรองรับธุรกิจอื่นๆรวมถึงรองรับการขนถ่ายวัตถุดิบซึ่งเป็นเหล็กแท่งแบนจาก SSI UK ที่ต้องขนถ่ายด้วยเรือที่มีขนาดใหญ่ ซึ่งไม่มีเครนในตัวในการขนถ่าย

First slab success fully produced at SSI Teesside plant

         SSI Teesside has started steel slab casting and produced the first slab on 18 April 2012 after Sahaviriya Steel Industries UK Ltd. (SSI UK), a subsidiary of Sahaviriya Steel Industries Public Company Limited (SSI), had started to blow hot air blast into its Redcar Blast Furnace on April 15, 2012, raw materials composed of iron ore and coke were loaded into the blast furnace and were ignited by the hot air blast at the temperature of 1,200 degree-Celsius until the hot metal came out. The hot metal then purified with appropriate quality was reached the steel plant for casting process to become the first steel slab.
          During the first progress of steel slab producing, SSI UK will concentrate on safety and stability of slab manufacturing by aiming at 10,000 tonnes daily production. The Company expected to reach 2.2 million tones in 2012 and the slab production was targeted to increase to 3.6 million tonnes per year in 2012. Steel slab output from SSI Teesside will be partially targeted to serve demand in foreign market and sales volume in Thailand. This is good market timing as the global economic outlook is improving and steel industry is in an uptrend after passing the trough in Q4/2011 while Thai flat steel market is expected to grow by 7-8% per year for the next 10 years.

          การถลุงเหล็กและผลิตเหล็กกล้าโรงงานเอสเอสไอทีไซด์ เริ่มเข้าสู่กระบวนการหล่อจนได้เหล็กแท่งแบนแท่งแรกแล้วเมื่อ วันที่ 18 เมษายน 2555 หลังจาก บริษัท สหวิริยาสตีลอินดัสตรี ยูเค จำกัด หรือ “เอสเอสไอ ยูเค” บริษัทย่อยของบริษัท สหวิริยาสตีลอินดัสตรี จำกัด (มหาชน) หรือ “เอสเอสไอ”  จุดเตาถลุงเหล็กเรดคาร์เมื่อวันที่ 15 เมษายน 2555 และเติมวัตถุดิบ อาทิ แร่เหล็กและถ่านโค้ก ให้เกิดการเผาไหม้โดยก๊าซร้อนที่อุณหภูมิ 1,200 องศาเซลเซียสจนได้น้ำเหล็กดิบลำเลียงมายังหน่วยผลิตเหล็กกล้าและทำการปรุงคุณภาพน้ำเหล็กบริสุทธิ์ให้ได้คุณภาพที่ต้องการแล้วผ่านการหล่อเหล็กให้เป็นเหล็กแท่งแบน
          การผลิตเหล็กแท่งแบนในช่วงแรกนี้ เอสเอสไอ ยูเค จะมุ่งเน้นถึงความปลอดภัยสูงสุดและความสม่ำเสมอ ในการผลิต โดยมีเป้าหมายผลิตให้ได้ 10,000 ตันต่อวัน และเป้าหมายการผลิตเหล็กแท่งแบนของโรงงานแห่งนี้ในปี 2555 คือ 2.2 ล้านตัน และเพิ่มเป็น 3.6 ล้านตันต่อปีในปี 2556  เหล็กแท่งแบนที่ผลิตได้ส่วนหนึ่งจะขายในตลาดต่างประเทศ และส่วนหนึ่งจะถูกส่งเข้ามาเสริมยอดการผลิตและยอดขายของเอสเอสไอในประเทศไทย ซึ่งนับเป็นช่วงจังหวะที่ดีเพราะเศรษฐกิจโลกและอุตสาหกรรมเหล็กกำลังปรับตัวในทิศทางขาขึ้นหลังผ่านจุดตํ่าสุดในไตรมาส4/2554 และสอดรับกับตลาดเหล็กแผ่นในประเทศไทยที่คาดการณ์ว่ามีแนวโน้มที่จะเติบโตในอัตราสูงถึงร้อยละ 7-8 ต่อปี ในระยะ10 ปีข้างหน้า

SSI started Redcar Blast Furnace operation at SSI Teesside

The Redcar blast furnace is relit by Wills Waterfield, son of the late union chief, Geoff Waterfield who died aged 43 last year after leading the efforts to have this facility at Redcar resumed following its mothballing in 2010.

SSI started to blow hot air blast into its Redcar Blast Furnace and in that process relit the blast furnace and marked the resumption of iron & steel making at its SSI Teesside site after 26 months mothballing.
On 15 April 2012, Sahaviriya Steel Industries UK Ltd. (SSI UK) held a blast furnace blow-in ceremony among SSI UK management and staffs, including Group CEO and President of Sahaviriya Steel Industries Plc. (SSI) Mr. Win Viriyaprapaikit, together with representatives from the local community and union.  The blast furnace, which was mothballed in February 2010, had been loaded with raw materials such as iron ore and coke and was ignited by the hot air blast at 1,200 degree-celsius temperature.

“It had been one full year of hard work and I thank all for their dedication and support.  In a few days’ time, the hot metal will reach the steel plant and the first steel slab will be casted.  I know how everyone felt when the plant was mothballed 26 months ago after 170 years of steel making heritage and I can’t imagine how much joy this would bring to the workforce and the community,” remarked Mr. Win.
Phil Dryden, Chief Executive of SSI UK, said, “I am very pleased that we can now look forward to resuming steelmaking at Teesside after a two year absence. This is an historic day and I would like to record my appreciation to all those who have been involved, for their commitment and hard work, on what has been a complex and demanding restart program. We now look forward to creating a successful and sustainable business which will benefit the local community and external stakeholders for generations to come.”

SSI celebrates Elder’s day in Thai traditional style

          Sahaviriya Steel Industries Public Company Limited (SSI), Bangsaphan Hospital and Health Network of Bangsphan jointly arranged Elder’s day activities for 105 elderly people in Bangsaphan District. The activities consisted of providing a program of health knowledge, conserving Thai tradition by sprinkling water to elderly people. This was a way to show gratitude and respect to and them. The activity was presided over by Mr. Attasitt  Sooktamniyom, District Chief Officer of Bangsaphan and Mr.Padunsak Pranudomrat, Public and Community Relations Manager of SSI, gave a welcome speech as Mr. Attasitt just took the responsibility as the chief officer. This event was held on 11 April 2012 at Phonwisit  club hall, Bangsaphan Hospital, Bangsaphan, Prachuap Khirikhan.
