Sahaviriya Steel Industries Public Company Limited (“SSI”), Thailand’s largest steel producer, announces today that it has signed a Memorandum of Understanding (“MOU”) with Corus UK Limited (“Corus”), a subsidiary of Tata Steel Group, relating to the proposed asset acquisition of Corus’s upstream steel production facilities, Teesside Cast Products (the “Proposed Acquisition”). The indicative transaction value is approximately USD500 million. The Proposed Acquisition will create stability in SSI’s raw material supplies, enhance its growth potential, reduce earnings volatility and provide opportunities for diversification.

SSI is currently finalising due diligence and arranging financing for the Proposed Acquisition and is continuing negotiations with Corus regarding definitive sale documentation. There is no certainty that a transaction will proceed and should there be any developments regarding the Proposed Acquisition further announcements will be made in due course.

Teesside Cast Products (“TCP”) is a fully integrated iron-and-steel making facility, with the second largest blast furnace in Europe and slab production capacity of 3.5 million tonnes per year. TCP is located in Teesside, northeast England.

The production facilities include iron-making facilities, steel-making facilities and the infrastructure and logistics facilities required to support full production. The Proposed Acquisition furthers SSI’s strategy of expanding its upstream production to support present production and create a leading vertically integrated steel producer based in South East Asia.

The Proposed Acquisition is expected to provide the enlarged SSI with the following benefits:

• The Proposed Acquisition furthers SSI’s strategy of backward integration to upstream iron & steel production to support present production and create a leading vertically integrated steel producer based in South East Asia

• Opportunity to move into upstream production enables SSI to produce raw materials for its own needs and help manage working capital requirements more efficiently

• Reduction of earnings volatility. Producing its own slab will derisk SSI from the volatility in slab market price thereby reducing it earnings volatility; and

• Opportunity for business optimization and diversification. The Proposed Acquisition is expected to increase flexibility in production and marketing scenarios, and provide geographic and product diversification benefits.

This transaction will enable SSI to fulfill its long-standing objective of becoming a fully integrated steel producer with both melting and rolling facilities.

เอสเอสไอลงนามในบันทึกความเข้าใจกับ Corus UK กิจการในกลุ่ม Tata Steel เตรียมเข้าซื้อโรงงานถลุงเหล็ก Teesside Cast Products มูลค่าประมาณ 500 ล้านดอลลาร์สหรัฐ เผยสร้างความมั่นคงทางด้านวัตถุดิบให้เอสเอสไอ เพิ่มขีดความสามารถในการแข่งขัน ลดความผันผวนของกำไร และเพิ่มความยืดหยุ่นรวมถึงกระจายความเสี่ยงในกระบวนการผลิตและการตลาด

นายวิน วิริยประไพกิจ กรรมการผู้จัดการใหญ่ บริษัท สหวิริยาสตีลอินดัสตรี จำกัด (มหาชน) (เอสเอสไอ) เปิดเผยว่า เมื่อวันศุกร์ที่ 27 สิงหาคม 2553 บริษัทได้ลงนามในบันทึกความเข้าใจ กับ Corus UK Limited (Corus) ซึ่งเป็นบริษัทในกลุ่ม Tata Steel Group ผู้ประกอบการอุตสาหกรรมเหล็กรายสำคัญของโลก เพื่อแสดงเจตนารมณ์ในการพิจารณาเข้าทำรายการซื้อสินทรัพย์โรงงานถลุงเหล็ก Teesside Cast Products ของ Corus และการวางกรอบทิศทางและกำหนดขอบเขตเงื่อนไขอื่นๆ โดยการลงทุนจะประกอบด้วยการซื้อสินทรัพย์การผลิตเหล็กต้นน้ำ มูลค่าเบื้องต้นประมาณ 500 ล้านดอลลาร์สหรัฐ และการจัดซื้อวัตถุดิบ สินค้าคงเหลือ และสินทรัพย์หมุนเวียนอื่นๆ

“Teesside Cast Products เป็นโรงงานผลิตเหล็กแท่งแบน (Slab) ครบวงจร โดยนับเป็นโรงงานถลุงเหล็กและผลิตเหล็กกล้าที่ใหญ่ที่สุดแห่งหนึ่งในยุโรป มีกำลังการผลิตเหล็กแท่งแบน ประมาณ 3.5 ล้านตันต่อปีโดยมีโรงงานตั้งอยู่ที่เมือง Teesside ทางภาคตะวันออกเฉียงเหนือของประเทศอังกฤษ ทั้งนี้ หน่วยการผลิตของ Teesside Cast Products ครอบคลุมที่ดินทั้งหมดรวมประมาณ 800 เอเคอร์ (2,000 ไร่) ซึ่งประกอบด้วย หน่วยการถลุงเหล็ก (Iron-making Facilities) หน่วยการผลิตเหล็กกล้า (Steel-making Facilities) รวมถึงระบบสาธารณูปโภคพื้นฐานและการขนส่งเพื่อรองรับกระบวนการผลิตตามกำลังการผลิตอย่างเต็มที่ โดยการแสดงเจตนารมณ์เพื่อการซื้อสินทรัพย์ในครั้งนี้เป็นไปตามแผนยุทธศาสตร์ของเอสเอสไอที่ต้องการจะขยายกระบวนการผลิตไปยังอุตสาหกรรมการผลิตเหล็กต้นน้ำ เพื่อมุ่งสู่การเป็นผู้ผลิตเหล็กครบวงจร และสร้างความแข็งแกร่งในการดำเนินธุรกิจของเอสเอสไอในอนาคต” นายวินกล่าว

นายวินกล่าวเพิ่มเติมว่า ประโยชน์ที่คาดว่าจะได้รับจากการเข้าซื้อสินทรัพย์ใน 4 ด้านหลักๆ คือ

1. จะช่วยสนับสนุนยุทธศาสตร์ของบริษัทในการขยายธุรกิจสู่การผลิตเหล็กต้นน้ำเพื่อรองรับการผลิตเหล็กแผ่นรีดร้อนในปัจจุบัน และมุ่งสู่การเป็นผู้ผลิตเหล็กแผ่นครบวงจรชั้นนำของภูมิภาคเอเชียตะวันออกเฉียงใต้

2. การลงทุนในธุรกิจเหล็กต้นน้ำจะช่วยให้บริษัทสามารถผลิตวัตถุดิบเพื่อรองรับการใช้งานของบริษัท และช่วยให้การบริหารเงินทุนหมุนเวียนเป็นไปอย่างมีประสิทธิภาพมากขึ้น

3. ลดความผันผวนของผลกำไรซึ่งเป็นปัญหาของธุรกิจเหล็กอันเนื่องมาจากความผันผวนของราคาเหล็กแท่งแบน (Slab) ซึ่งเป็นวัตถุดิบหลัก

4. เพิ่มความยืดหยุ่นและกระจายความเสี่ยงในกระบวนการผลิตและการตลาด ซึ่งโรงงานถลุงเหล็กในประเทศอังกฤษจะช่วยเพิ่มทางเลือกทางการผลิตและการตลาด ซึ่งจะทำให้บริษัทมีความเสี่ยงของธุรกิจลดลง และมีโอกาสในการทำกำไรที่เพิ่มขึ้น

ขณะนี้ บริษัทอยู่ระหว่างการศึกษารายละเอียดของสินทรัพย์ การวางแผนและจัดหาแหล่งเงินทุน รวมถึงการเจรจากับทาง Corus เพื่อให้บรรลุข้อตกลงสำหรับการเข้าซื้อสินทรัพย์ดังกล่าว ซึ่งหากมีความคืบหน้าที่สำคัญ บริษัทจะแจ้งรายละเอียดเพิ่มเติมตามลำดับต่อไป
