SSI raised the total funds of 10,972.34 MB, of which 9,404.09 MB from the share capital increase during 16 November 2012 to 10 October 2013 and 1,568.25 MB from the sales of investments in TCRSS. The fund raised was used to additionally invest in its Iron and Steel Making Business (SSI UK) and to buy back convertible bonds.
As part of the the “Comprehensive Financial Plan”, which was approved by the shareholders at the Extraordinary General Meeting of Shareholders No.2/2012 of Sahaviriya Steel Industries Public Company Limited (SSI) held on 11 October 2012, the Capital Increase Plan allowed the issuance of new share capital up to 19,433,670,324 new shares, at 0.68 baht per share, and allocating such shares via Rights Offerings and Private Placement. The Company has been updating the progress of the Capital Increase Plan in its First to the Ninth Notification respectively.
Mr. Win Viriyaprapaikit, Group CEO and President of SSI, revealed the final result of the capital increase that SSI has completed the offering of 13,829.55 million newly issued ordinary shares to 1) Sahaviriya Group 8,199.64 million shares and 2) business partners and existing shareholders 5,629.87 million shares, totaling the subscription proceeds of Baht 9,404.09 million.
There are remaining 5,604.11 million unsubscribed shares, which SSI will later decrease its authorised capital by cancelling the number of unsubscribed shares.
Moreover, SSI received Baht 1,568.25 million from the sale of TCR’s shares in February 2012, and used such proceeds to additionally invest in SSI UK accordingly.
“As for the Iron and Steel Making Business, which is operated by Sahaviriya Steel Industries UK Limited (SSI UK), after the aforementioned additional investments, the paid up capital has increased from USD 473 million to USD 895.61 million. This will help SSI UK to reduce its financial cost and provide required working capital as it continues to ramp up output according to plan.”
“We had strong support in our fund raising activity from our shareholders and business partners, who had shown their confidence in our business, our vision, our management and our people. We hope to regain our financial strength as our energy cost continues to reduce post-start up of the PCI plant in July and our business stabilizes as the plant reaches economy of scale in terms of output level,” Mr. Win added.

เอสเอสไอได้รับการสนับสนุนจากผู้ถือหุ้น พันธมิตรและนักลงทุน ระดมทุนได้เงิน 10,972.34 ล้านบาท จากการขายหุ้นสามัญเพิ่มทุนตั้งแต่วันที่ 16 พฤศจิกายน 2555 จนถึงวันที่ 10 ตุลาคม 2556 จำนวน 9,404.09 ล้านบาท และจำหน่ายเงินลงทุนใน TCRSS 1,568.25 ล้านบาท นำไปลงทุนเพิ่มเติมในธุรกิจโรงถลุงเหล็กและซื้อคืนหุ้นกู้แปลงสภาพ
ตามที่ที่ประชุมวิสามัญผู้ถือหุ้น ครั้งที่ 2/2555 บริษัท สหวิริยาสตีลอินดัสตรี จำกัด (มหาชน) หรือ เอสเอสไอ เมื่อวันที่ 11 ตุลาคม 2555 ได้อนุมัติแผนการจัดโครงสร้างทางการเงินแบบเบ็ดเสร็จ (Comprehensive Financial Plan) และอนุมัติแผนการระดมทุนเพิ่มเติมโดยจัดสรรหุ้นสามัญเพิ่มทุนจำนวน 19,433,670,324 หุ้น ในราคาหุ้นละ 0.68 บาท ให้แก่ผู้ถือหุ้นเดิมของบริษัทตามสัดส่วนจำนวนหุ้นที่ผู้ถือหุ้นแต่ละรายถืออยู่ (Rights Offerings) และ บุคคลในวงจำกัด (Private Placement) โดยเอสเอสไอได้รายงานความคืบหน้าเกี่ยวกับแผนการเพิ่มทุนของเอสเอสไอแก่นักลงทุนทราบครั้งที่ 1-9 มาตามลำดับนั้น
นายวิน วิริยประไพกิจ ประธานเจ้าหน้าที่บริหารกลุ่ม และ กรรมการผู้จัดการใหญ่ เอสเอสไอ เปิดเผยถึงผลการเพิ่มทุนของเอสเอสไอ ว่า เอสเอสไอได้ดำเนินการขายหุ้นสามัญเพิ่มทุนเสร็จสิ้นไปแล้วเป็นจำนวน รวม 13,829.55 ล้านหุ้น ประกอบด้วย 1) กลุ่มสหวิริยา 8,199.64 ล้านหุ้น 2) พันธมิตรทางธุรกิจและผู้ถือหุ้นทั่วไป 5,629.87 ล้านหุ้น คิดเป็นเงินที่ระดมได้รวม 9,404.09 ล้านบาท
ทั้งนี้มีหุ้นสามัญที่ยังไม่ได้จำหน่ายรวมจำนวน 5,604.11 ล้านหุ้น ซึ่งเอสเอสไอจะดำเนินการลดทุนจดทะเบียนของเอสเอสไอ โดยการตัดหุ้นสามัญเพิ่มทุนส่วนที่คงเหลือต่อไป
นอกจากนี้เอสเอสไอได้จำหน่ายเงินลงทุนในบริษัท เหล็กแผ่นรีดเย็นไทย จำกัด (มหาชน) หรือ TCRSS เมื่อเดือนกุมภาพันธ์ 2555 ได้รับเงินจำนวน 1,568.25 ล้านบาท ซึ่งได้นำไปลงทุนซื้อหุ้นสามัญเพิ่มทุนของธุรกิจโรงถลุงเหล็ก
“สำหรับธุรกิจโรงถลุงเหล็ก ซึ่งดำเนินการโดย บริษัท สหวิริยาสตีลอินดัสตรี ยูเค จำกัด นั้นได้ดำเนินการเพิ่มทุนชำระแล้วจาก 473 ล้านเหรียญสหรัฐเป็น 895.61 ล้านเหรียญสหรัฐเรียบร้อยแล้ว ซึ่งจะช่วยเพิ่มเงินทุนหมุนเวียนและลดต้นทุนทางการเงินให้แก่ธุรกิจโรงถลุงเหล็กได้

The executives of 5 steel giants, comprising Ms. Wanna Tangcharoenching, Vice President of Commercial Division of Sahaviriya Steel Industries Public Company Limited or SSI, Mr. Nava Chantanasurakon, President of Thai Cold Roll Steel Sheet Public Company Limited or TCRSS, Mr. Somkiat Pintatham, Country President of NS Blue Scope (Thailand) Limited (NS Blue Scope), Mr. Hiroaki Sato, President of Siam United Steel (1995) Co., Ltd (SUS) and Mr. Akihiko Ota, President of Nippon Steel & Sumikin Galvanizing (Thailand) Co., Ltd (NSGT), jointly presided over “The 6th Thailand Iron Man Mini Marathon 2013” and handed over BHT 2.4 million of the raised funds to 22 foundations for charity to support the underprivileged. At least, 1,400 participants joined the event held at Lumpini Park on 2nd November 2013.
